TFA Therapeutics, Inc. Officially Completes Corporate Name Change

We are pleased to announce that Cordyceps Sunshine Biotech Holdings Co., Ltd. has officially changed its corporate name to TFA Therapeutics, Inc.
This corporate name change represents far more than an update to our legal name and corporate identity. It reflects a significant evolution in our corporate strategy and positioning, marking our transformation from a biotechnology enterprise into a pharmaceutical company focused on innovative drug research and development, therapeutic product development, and the creation of long-term clinical value.
As our business strategy and core focus have continued to evolve, our former corporate name no longer fully represented our current business positioning, research direction, or long-term vision. Accordingly, the Company has adopted TFA Therapeutics, Inc. as its new legal name and corporate brand to more clearly communicate its identity as an innovative therapeutics company to investors, business partners, and the broader healthcare and biotechnology communities.
The term “Therapeutics” reflects the Company’s commitment to developing innovative therapeutic products and novel medicines that address unmet medical needs. This name change is not merely a rebranding initiative, but a significant milestone that formally recognizes the Company’s strategic transformation and reinforces its long-term corporate direction.
Going forward, TFA Therapeutics, Inc. will continue to focus on innovative drug discovery and therapeutic development, strengthen its research and development capabilities, expand strategic collaborations and international partnerships, and advance the development of therapies that deliver meaningful clinical outcomes and sustainable long-term value.
This corporate name change was approved by a special resolution of the Company’s shareholders on July 12, 2026. The Registrar of Companies of the Cayman Islands has issued a Certificate of Incorporation on Change of Name, confirming that Cordyceps Sunshine Biotech Holdings Co., Ltd. has been officially renamed TFA Therapeutics, Inc. The certificate was executed in George Town, Grand Cayman on July 20, 2026, and bears the official issue date of July 22, 2026.
To ensure that investors and the market receive consistent, transparent, and timely information, the Company will also file a Form 6-K with the U.S. Securities and Exchange Commission (SEC) to formally disclose the corporate name change. Upon completion of the filing, the relevant disclosure documents will also be available through the Company’s disclosure page on OTC Markets.
The Company will continue updating its official website, corporate branding, corporate documents, investor materials, and all external communications to reflect the new corporate identity. During the transition period, certain materials may continue to display the former corporate name alongside the new name to facilitate recognition and ensure a smooth transition.
